Terms of Use

This Commercial License Agreement ("Agreement") is made between Alexander Lvovich ("Licensor") and You or the organization on whose behalf you are entering into this agreement ("Purchaser").

1. Grant of License

Subject to the terms of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable, limited license to use and modify the Digital Product (Item) and documentation provided under this Agreement. This license is granted solely for internal business operations of the Purchaser and not for further distribution or resale.

2. Restrictions

Purchaser shall not:

• Distribute, sublicense, lease, rent, sell, or otherwise transfer the Digital Product (Item) to any third party.
• Use the Digital Product (Item) to provide services to third parties or as part of a commercial offering.
• Remove or alter any proprietary notices or labels on the Digital Product (Item).

3. Intellectual Property

The Digital Product (Item) and all intellectual property rights therein are and shall remain the property of Licensor, and no transfer of ownership occurs under this Agreement. The Purchaser acknowledges that the Digital Product (Item) is licensed, not sold.

4. No Warranty

The Digital Product (Item) is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Limitation of Liability

In no event shall Licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Digital Product (Item) or the use or other dealings in the Digital Product (Item).
